These Terms of Service ("Terms") govern access to and use of Cephos's websites, software, applications, integrations, and related services (the "Service").

By accessing or using the Service, you agree to these Terms.

1. The Service

Cephos provides software for managing, supporting, and providing context for technology deployments.

We may add, remove, modify, suspend, or discontinue features of the Service at any time.

2. Accounts

You are responsible for activity occurring through your account and for maintaining the security of your credentials.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Customer Data

"Customer Data" means information, files, documents, materials, and other content submitted to, stored in, generated through, or connected to the Service by or on behalf of a customer.

As between Cephos and the customer, the customer retains ownership of Customer Data.

You grant Cephos the rights necessary to host, access, copy, process, transmit, index, analyze, modify, and otherwise use Customer Data solely as necessary to provide, maintain, secure, and improve the Service and related user facing functionality.

You represent that you have all rights, permissions, consents, and authority necessary for Cephos to process Customer Data as contemplated by these Terms.

This includes information relating to your customers, employees, partners, and other third parties.

4. Connected Services

The Service may connect with third party products and services, including Google Drive.

By enabling an integration, you authorize Cephos to access and process information made available through that integration in order to provide the functionality you request.

Your use of third party services remains subject to the terms and policies of those providers.

Cephos is not responsible for third party services or for changes, interruptions, or limitations imposed by them.

5. Acceptable Use

6. Cephos Technology

Cephos and its licensors retain all rights in the Service, including its software, interfaces, models, workflows, designs, documentation, and underlying technology.

Except for the limited right to use the Service under these Terms, no rights in Cephos technology are transferred to you.

Feedback provided to Cephos may be used without restriction or obligation.

7. Outputs and Deployment Decisions

The Service may generate analyses, recommendations, summaries, automated actions, or other outputs based on Customer Data or third party systems.

Outputs may be incomplete, inaccurate, or unsuitable for a particular purpose.

You are responsible for reviewing outputs and for all deployment, operational, safety, technical, and business decisions made using the Service.

8. Confidentiality and Data

Cephos may access and disclose Customer Data to its personnel and service providers where necessary to operate, maintain, secure, or support the Service, and as otherwise permitted by our Privacy Policy or required by law.

Our handling of personal information is described in the Cephos Privacy Policy.

9. Fees

Any fees, payment obligations, subscriptions, pilots, or commercial commitments are governed by the applicable order, agreement, or other arrangement between Cephos and the customer.

10. Disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available."

Cephos disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non infringement, and uninterrupted or error free operation.

11. Limitation of Liability

To the maximum extent permitted by law, Cephos and its founders, personnel, contractors, affiliates, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities.

To the maximum extent permitted by law, the total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

  1. the amount paid to Cephos for the Service during the twelve months preceding the event giving rise to the claim; or
  2. CAD $100.

These limitations apply regardless of the legal theory of liability.

12. Indemnity

You will indemnify and hold harmless Cephos and its founders, personnel, contractors, affiliates, and representatives from third party claims, liabilities, damages, and expenses arising from:

13. Suspension and Termination

You may stop using the Service at any time.

Cephos may suspend or terminate access to the Service where reasonably necessary to protect the Service or other users, address unlawful or abusive conduct, enforce these Terms, or comply with law.

Provisions that by their nature should survive termination will survive.

14. Changes

We may modify these Terms from time to time by posting an updated version.

Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

15. General

These Terms and any applicable written commercial agreement constitute the agreement governing your use of the Service.

If a written agreement between Cephos and a customer conflicts with these Terms, the written agreement controls for that customer.

Cephos may assign these Terms in connection with a reorganization, incorporation, financing, acquisition, sale, or transfer of the Service or business.

No founder, employee, contractor, or representative of Cephos assumes personal liability under these Terms solely by acting on behalf of Cephos.

These Terms are governed by the laws of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles.
